Barker Gotelee converts to a Limited Liability Partnership
In common with many other professional services firms, Barker Gotelee converted to limited liability partnership (LLP) status under English law, on 1st May 2017.
As a result, the business, assets and liabilities of the Partnership transferred to the LLP. This also involved an assignment to the LLP by the Partnership of all the Partnership’s existing contracts (including client engagements). All related client money, documents, records, confidential or privileged information and intellectual property was also transferred to the LLP. In addition, the Partnership assigned its rights to any fees outstanding at the date of conversion (whether invoiced or not) from its client engagements to the LLP.
Reason for the conversion
The main reason for the conversion is to enable us to trade with limited liability – we consider it appropriate that the firm’s assets are only at risk rather than the personal assets of the LLP members (formerly the Partnership’s partners).
The conversion simply means that clients are being advised by a firm which has adopted a modern corporate structure. Your contacts within the firm remain the same and our new status will not affect your day-to-day dealings with us.
Converting to LLP status does not affect the delivery or quality of service that we provide and nor does it fundamentally change the way in which we operate or work with you. We remain committed to providing the excellent client care and high quality legal services that you have come to expect from us.
Material produced prior to date of conversion to Barker Gotelee LLP
Before 1st May 2017 a large number of items were generated and/or published by or on behalf of the Partnership prior to the firm’s conversion. Please note that nothing contained in any of those items is to be taken as indicating that the LLP is a general partnership.
If you have any questions or concerns relating to our conversion to an LLP, please speak to your usual contact at Barker Gotelee.
